As a prospective business buyer, you should understand that, as the business intermediary, Hallmark Business Group represents and is paid by the owner of the business who has employed us to sell their business. HMBG is obligated, by law, to act primarily for the seller's (our clients's) benefit. But, experience has taught us that it is vitally important to work closely with buyers in order to insure a smooth transition of a business.
However, we also want you to know that it is our policy, as well as a legal requirement that we treat you fairly and honestly. All potential buyers will be asked to sign a Confidentiality Agreement before learning the wide assortment of specific details regarding a business for sale. HMBG will provide you with valuable market information on businesses we offer for sale, education in the business buying process, and assistance in buying a business.
Other areas of assistance provided by HMBG to all prospective buyers are as follows:
- Each business listed for sale with have a detailed marketing proposal available for review, which will provide a descriptive narrative of the business operations, history, as well as financial information. HMBG will help you develop an understanding of how each business is priced.
- HMBG will disclose to you material facts that are known about the businesses we have available. The discretionary earnings analysis is of particular importance to the buyer's understanding of the cash flow generated from the subject business. This earnings figure will be available for the new owner to draw his personal compensation, service the debt which may be incurred during the acquisition process, and also to generate a return on the equity invested in the business. All financial information prepared is based on filed tax returns, which will be available for a buyer's review at the appropriate time during the buying process.
- As business intermediaries, we choose not to advise buyers on legal or financial/tax matters. We can, however, guide you through the transaction but HMBG will strongly encourage all buyers to engage independent advisors to assist them during the acquisition process.
- HMBG typically represents the Seller in the majority of the business sales; however, we can also offer representation to buyers that may have a desire to enter an industry or to purchase a specific business. Target searches for companies that fit the buyer's criteria can be made to insure the confidentiality of the proposed transaction.
